Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by OutsourceAI ("OutsourceAI," "we," "us," or "our"). By using our website, engaging our services, or otherwise interacting with OutsourceAI, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, you must not use our services.

This document is intentionally broad so OutsourceAI can provide both website and marketing services on your behalf.

1. Services

1.1 Scope of Services

OutsourceAI may provide one or more of the following (collectively, the "Services"):

  1. Website & Digital Asset Development
    • Custom AI-generated and/or AI-assisted websites
    • Landing pages, funnels, and related digital assets
    • Technical implementation, integrations, and configuration
    • Hosting and related infrastructure services
    • Ongoing maintenance, updates, and support as agreed
  2. Marketing & Growth Services
    • Digital marketing strategy and consulting
    • Social media account setup, management, posting, and engagement
    • Content creation (e.g., posts, emails, ads, blogs, landing page copy)
    • Search engine optimization (SEO) and related on-page/off-page work
    • Paid advertising strategy, setup, management, and optimization (e.g., Google Ads, Meta Ads)
    • Email marketing, SMS marketing, and CRM workflows
    • Analytics, tracking, reporting, and performance analysis
    • Brand positioning, messaging, and creative direction
  3. Ancillary Services
    • Third-party tool setup and integrations (e.g., CRMs, schedulers, analytics platforms)
    • Consulting, training, or advisory sessions
    • Any additional services mutually agreed in writing

The exact scope, deliverables, and timeline for any particular engagement may be defined in a separate written agreement, order form, proposal, or statement of work ("SOW"). To the extent of any conflict, the SOW or order form will control for that specific project.

2. Client Authorization to Act on Your Behalf

To effectively perform the Services, you authorize OutsourceAI to act on your behalf within reasonable bounds necessary to deliver the agreed results.

2.1 Access & Authority

You authorize OutsourceAI (and its team, contractors, and systems):

  • To access, create, configure, and manage websites, landing pages, hosting environments, social media profiles, advertising accounts, email marketing platforms, CRMs, and analytics tools
  • To post, publish, edit, or remove content related to your business, including website copy, social media content, advertisements, email campaigns, and funnels

2.2 Use of Your Brand & Content

You grant OutsourceAI a non-exclusive, worldwide, royalty-free license to use your:

  • Business name, logos, trademarks, and brand assets
  • Photos, videos, text, product details, pricing, and other materials you provide
  • Existing digital properties (e.g., website, social media pages) solely for the purpose of providing the Services

You represent and warrant that you have the necessary rights to grant this authorization and that our use of these assets will not infringe any third-party rights.

3. Client Responsibilities

To enable us to deliver results quickly and effectively, you agree to:

  • Provide Accurate Information: Supply accurate, complete, and up-to-date information about your business, services, pricing, legal disclaimers, and any industry-specific requirements
  • Timely Cooperation: Provide timely feedback, approvals, and access to requested accounts and tools
  • Compliance & Legality: Ensure that your products, services, and business practices comply with all applicable laws and regulations
  • Budgets & Ad Spend: Fund all advertising budgets and third-party costs directly or as otherwise agreed

You remain fully responsible and liable for your business, offers, and conduct, including any claims arising from your products, services, or customer relationships.

4. Fees, Payments, and Term

4.1 Website & Hosting

  • For applicable offers, website development may be provided at $0 upfront, with a minimum hosting or service term (e.g., 12 months at a specified monthly rate)
  • Ownership of the website and/or certain digital assets may transfer to you only after completion of the agreed minimum term and full payment of all amounts due
  • Early cancellation may result in early termination or buyout fees as specified in your agreement

4.2 Marketing & Retainer Services

  • Marketing and related Services may be billed on a monthly retainer, project fee, performance fee, or hybrid basis
  • Unless otherwise stated, fees are due in advance of each service period and are non-refundable
  • Ad spend and third-party fees are generally not included in our service fees

4.3 Invoices & Late Payments

  • Payments are due on the invoice date or as otherwise specified
  • Overdue invoices may incur interest at up to 1.5% per month (or the maximum allowed by law) and/or result in suspension or termination of Services

5. Ownership & Intellectual Property

5.1 Pre-Existing IP

Each party retains all right, title, and interest to its pre-existing intellectual property, including OutsourceAI's tools, processes, templates, frameworks, and your existing brand assets and materials.

5.2 Deliverables

  • Websites and Custom Assets: Upon full payment and completion of any required minimum term, you receive a license or ownership to use the website and deliverables for your business
  • Marketing Assets & Content: Content created specifically for your brand becomes your property once all associated fees are paid
  • Case Studies & Portfolio Use: You grant us permission to reference our work with you in our marketing materials, unless you explicitly request otherwise in writing

6. No Guarantees of Results

You understand and agree that:

  • Marketing, advertising, and SEO results are inherently uncertain and depend on many factors beyond OutsourceAI's control
  • Any performance figures, projections, or testimonials we share are illustrative and not guarantees
  • We do not guarantee specific revenue, profit, lead volume, rankings, return on ad spend (ROAS), or other specific outcomes

7. Acceptable Use & Restrictions

You may not use the Services for any unlawful, harmful, or abusive purpose, including:

  • Violating any applicable law or regulation
  • Infringing on intellectual property, privacy, or publicity rights
  • Promoting fraudulent, deceptive, or misleading products or claims
  • Distributing spam or unsolicited communications
  • Promoting hate, violence, or illegal activities

We reserve the right to decline or cease work for any project we deem high risk, illegal, or misaligned with our standards.

8. Termination & Suspension

8.1 By You

You may terminate the Services by providing written notice. You remain responsible for fees already incurred and any ad spend or third-party charges already initiated.

8.2 By OutsourceAI

We may suspend or terminate Services if you fail to pay, breach these Terms, or engage in high-risk conduct. Upon termination, any outstanding amounts become immediately due.

9. Disclaimers & Limitation of Liability

9.1 Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied.

9.2 Limitation of Liability

OutsourceAI's total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless OutsourceAI from any claims, damages, or expenses arising from your products, services, business operations, or violation of these Terms.

11. Confidentiality

Both parties agree to keep confidential any non-public information disclosed by the other party, including business strategies, customer data, marketing plans, and technical details.

12. Data, Privacy, and Third-Party Platforms

  • You acknowledge that our work often involves third-party platforms with their own terms and privacy policies
  • You are responsible for ensuring your website complies with applicable privacy and data protection laws
  • To the extent we process personal data on your behalf, we act as your service provider, and you are the controller

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes your acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada. Any dispute shall first be attempted to be resolved through good-faith negotiation. If litigation is necessary, the exclusive venue shall be the courts in Clark County, Nevada.

15. Miscellaneous

  • Entire Agreement: These Terms, together with any signed agreements, constitute the entire agreement between you and OutsourceAI
  • Severability: If any provision is held invalid, the remaining provisions remain in effect
  • No Waiver: No waiver of any term shall be deemed a continuing waiver
  • Assignment: You may not assign your rights without our consent
